By using intellist.co (the "site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use the site. In these Terms, "Intellist," "we," "our," and "us" refer to Intellist, an AI consulting business based in Louisiana.
These Terms are supplemented by our Privacy Policy. By using the site, you agree to that as well.
These Terms cover this website only. The Intellist iOS app is a separate product with its own terms at intellist.app.
Intellist is an AI consulting practice for local businesses. We identify where AI can realistically help a business, build a working demo of the proposed solution, and — if the client proceeds — build, deploy, and support the real thing.
This site is where we describe that work, publish written analysis, host interactive demos, and take requests for an initial call. The site itself is informational.
Nothing on this site is an offer, a quote, or a binding commitment, and nothing on it creates a consulting relationship. Requesting a call, receiving a demo, or reading a proposal does not by itself engage our services.
Any actual consulting work is governed by a separate written agreement covering scope, fees, timelines, deliverables, confidentiality, and ownership of what we build. Where that agreement and these Terms conflict, the signed agreement controls for that engagement. Pricing, timeframes, and process descriptions on this site are illustrative and may change.
The demos on this site are illustrations, not products. They run on sample data, are provided for evaluation only, and may be changed or withdrawn at any time. They are not intended for production use and carry no warranty or uptime commitment.
Do not enter confidential, sensitive, or regulated information — including personal data about identifiable people, health or financial records, or anything covered by an obligation of confidentiality — into a demo. Demo input is sent to a third-party AI provider for processing, as described in our Privacy Policy. You are responsible for what you submit.
The demos and parts of our written material produce output using large language models. That output can be incomplete, out of date, or simply wrong, and it may vary between runs for the same input.
Treat anything a demo produces as a draft to be reviewed, not as a result to be relied on. Do not use it as a substitute for professional legal, financial, tax, medical, or other regulated advice. You are responsible for reviewing and verifying output before acting on it, and we are not liable for decisions made in reliance on it.

They are not professional advice, they are accurate only as far as we knew at the time of writing, and we are under no obligation to keep them updated.

You may view and use the site, and share our written content with attribution, for your own informational and evaluation purposes. This does not grant you the right to copy, modify, redistribute, sell, or create derivative works from the site or the demos.
Ownership of anything we build for a client under an engagement is set out in that client's written agreement, not here. Nothing on this site transfers ownership of any deliverable.
If you send us suggestions, ideas, or feedback about the site or the demos, you grant us an unrestricted, irrevocable, royalty-free licence to use and incorporate it without obligation or compensation to you.
The site depends on third-party providers, including Vercel (hosting), Supabase (database and authentication), Anthropic (AI models), Resend (email), and beehiiv (newsletter). Your use of the site is subject to their terms where applicable, and we are not responsible for their availability, accuracy, or practices. If one of them has an outage or discontinues service, parts of this site may be affected.
We link to external sites for reference. We do not control them and are not responsible for their content.
THE SITE AND THE DEMOS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THIS SITE SHALL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS ($100.00). This limit applies to your use of this website. Liability arising under a signed consulting agreement is governed by that agreement.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the greatest extent permitted by law.
You agree to indemnify, defend, and hold harmless Intellist and its owner, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the site or its demos; (b) information you submit through the site; (c) your violation of these Terms; or (d) your violation of the rights of a third party.
We may suspend or restrict access to the site or the demos at any time, with or without notice, for conduct we believe violates these Terms or is otherwise harmful. You may stop using the site at any time. Sections that by their nature should survive termination will do so, including Sections 8 (Intellectual Property), 10 (Disclaimer of Warranties), 11 (Limitation of Liability), 12 (Indemnification), and 15 (Governing Law).
We may update these Terms at any time. Material changes will be reflected in the "Last updated" date at the top of this page. Continuing to use the site after a change constitutes acceptance of the revised Terms. If you do not agree, please stop using the site.
These Terms are governed by and construed in accordance with the laws of the State of Louisiana, United States, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or your use of the site shall be resolved exclusively in the state or federal courts located in Louisiana, and you consent to the personal jurisdiction of those courts.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Intellist regarding your use of this site, and supersede any prior agreements on that subject. They do not supersede a signed consulting agreement.
If any provision of these Terms is found unenforceable or invalid, it shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign ours without restriction.
